1. Grant of License

Subject to your compliance with this Agreement and payment of applicable fees, LocEngine grants you a limited, non-exclusive, non-transferable, revocable license to use the software according to your subscription or license plan.

The license includes the right to:

• Install and use the software on authorized devices
• Access features and capabilities included in your plan
• Receive updates and patches during the license period

2. Permitted Use

You may use the software solely for lawful development, localization, and translation purposes in accordance with its intended functionality. Permitted uses include:

• Scanning and analyzing project files for localization
• Generating i18n keys and translation structures
• Injecting translations into source code with reversible operations
• Exporting translations to various formats (JSON, PO, CSV, etc.)
• Integrating with authorized third-party services (e.g., Google Translate)

3. Restrictions

• Copy, distribute, sublicense, rent, lease, or resell the software
• Reverse engineer, decompile, disassemble, or attempt to derive source code
• Modify, adapt, or create derivative works based on the software
• Remove, alter, or obscure any copyright, trademark, or license notices
• Use the software to develop competing products or services
• Circumvent any technical limitations or license enforcement mechanisms
• Use the software in any unlawful manner or for any unlawful purpose

Violation of these restrictions may result in immediate termination of your license and legal action.

4. License Duration

License validity is limited to the purchased period and may expire automatically unless renewed. The duration depends on your license type:

• Free License: Perpetual, but with limited features
• Paid Licenses: 1 year from purchase date (unless otherwise specified)
• Enterprise Licenses: As specified in your agreement

After expiration, you must renew your license to continue using the software with full features. Free mode remains available with basic functionality.

5. Updates and Modifications

The software may be updated, modified, or discontinued at any time. Updates may include:

• New features and improvements
• Security patches and bug fixes
• Changes to supported formats or functionality

Continued use of the software after updates constitutes acceptance of those updates. We strive to maintain backward compatibility but cannot guarantee it for all versions.

6. Ownership

The software is licensed, not sold. All rights, title, and interest in and to the software, including all intellectual property rights, remain the exclusive property of LocEngine and its licensors.

You retain all rights to your project files, source code, and translations created using the software.

7. Termination

This Agreement may be terminated immediately if you violate its terms. Upon termination, you must:

• Cease all use of the software
• Uninstall and delete all copies of the software
• Certify in writing that you have complied with these requirements

Sections 3, 6, 7, 8, 9, and 10 shall survive termination.

8. Disclaimer of Warranty

To the maximum extent permitted by law, LocEngine disclaims all warranties, including but not limited to:

• Merchantability or fitness for a particular purpose
• Non-infringement of third-party rights
• Accuracy, reliability, or completeness of results
• Uninterrupted or error-free operation
• Compatibility with your hardware, software, or systems

You assume full responsibility for the selection, use, and results obtained from the software.

9. Limitation of Liability

This limitation applies to all types of damages, including:

• Direct, indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damage to projects, codebases, or systems
• Claims by third parties

In no event shall our total liability exceed the amount paid for the license during the twelve months preceding the claim.

10. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which LocEngine operates, without regard to its conflict of law provisions.

Any disputes arising under this Agreement shall be resolved in the courts of that jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

11. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and LocEngine regarding the software and supersedes all prior agreements and understandings.

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
